Service: Disposal
For more than three decades, the shareholders of Cavern City Tours had been custodians of one of the world’s most recognisable music venues. As owners of the Cavern Club, alongside the Cavern Pub, Cavern Restaurant and the Magical Mystery Tour, they had built a business that welcomed over one million visitors to Liverpool each year and played a significant role in the city’s tourism economy.

With the shareholders looking towards retirement, finding the right successor was never simply about achieving the highest price. The owners wanted to ensure that the business, its heritage and its contribution to Liverpool would be protected for future generations. After an extensive period identifying a suitable buyer, Cavern City Tours was acquired by 14 Collective, a group focused on distinctive cultural experiences and committed to preserving the venue’s legacy.
Langtons were engaged by the shareholders of Cavern City Tours to work alongside DTB Business Solutions to provide corporate finance, transaction and tax advisory support through the disposal process. Our role centred on helping the shareholders to maximise value as well as supporting with negotiation of a transaction structure which worked for all parties.
The transaction successfully secured new ownership for the business through its acquisition by 14 Collective, bringing to a close more than 35 years of ownership by Bill Heckle, Dave Jones, George Guinness and Julia Baird. Under their stewardship, the business helped establish Liverpool as a global destination for Beatles tourism through initiatives including the Magical Mystery Tour and International Beatleweek.
The sale provided a retirement solution for the shareholders while ensuring that one of Liverpool’s most important cultural institutions would continue to play a significant role in the city’s music, tourism and visitor economy. The new owners have expressed their commitment to preserving the Cavern’s heritage while building upon its long-standing tradition of live music and support for emerging artists.
This transaction demonstrates the importance of balancing commercial outcomes with legacy considerations. For the Cavern City Tours shareholders, success was measured not only by achieving an acceptable transaction outcome but also by identifying custodians who shared their vision for the future of the business.
We are proud to have supported the shareholders through this landmark transaction and to have played a role in helping secure the future of one of Liverpool’s most celebrated and internationally recognised cultural assets.
